Elastic SIP Trunking Addendum

Effective Date: January 1, 2024

This Elastic SIP Trunking Addendum ("Addendum") is incorporated into and made part of the Master Service Agreement ("MSA") between BlueStream Consulting, LLC ("BlueStream") and Client. In the event of a conflict between this Addendum and the MSA, this Addendum controls with respect to SIP Trunking Services.

1. Definitions

1.1 SIP Trunking Services. The provision of Session Initiation Protocol (SIP)-based voice channels connecting Client's on-premises or hosted IP PBX to the public switched telephone network (PSTN) and/or other telecommunications networks.

1.2 Elastic Capacity. The ability to dynamically scale the number of concurrent call paths (channels) up or down based on Client's usage, subject to the minimums and maximums specified in the applicable Service Order.

1.3 DID. Direct Inward Dialing number — a telephone number assigned to Client for inbound call routing.

1.4 CNAM. Caller Name — the display name transmitted with outbound calls, subject to carrier support and regulatory requirements.

2. Service Description

2.1 Channel Provisioning. BlueStream will provision SIP trunks with the number of concurrent channels specified in the Service Order. Elastic capacity allows Client to burst above the committed channel count subject to network availability and applicable burst rates.

2.2 DID Assignment. BlueStream will assign DIDs to Client as specified in the Service Order. DIDs are subject to availability and regulatory portability rules. Client may request number porting in accordance with Section 5 of this Addendum.

2.3 Codec Support. BlueStream supports G.711 (ulaw/alaw) and G.729 codecs. Support for additional codecs may be available upon request and is subject to network compatibility.

2.4 Transport. SIP signaling is delivered over UDP, TCP, or TLS as specified in the Service Order. Media (RTP) is delivered over UDP. SRTP encryption is available upon request.

3. Client Obligations

3.1 Compatible Equipment. Client is responsible for maintaining IP PBX hardware or software that is compatible with BlueStream's SIP trunking platform. BlueStream does not warrant compatibility with all PBX systems and recommends pre-deployment testing.

3.2 Network Quality. Client is responsible for maintaining sufficient internet bandwidth and Quality of Service (QoS) configurations to support the provisioned channel count. BlueStream recommends a minimum of 100 Kbps per concurrent call for G.711 and 32 Kbps per concurrent call for G.729.

3.3 Security. Client is responsible for securing its SIP endpoints against unauthorized use, toll fraud, and denial-of-service attacks. BlueStream may suspend service without notice if unusual traffic patterns suggest fraud or abuse. Client remains liable for all charges incurred prior to suspension.

3.4 E911 Registration. Client must register accurate physical location information for each DID used for outbound emergency calling. BlueStream will provision E911 service for registered DIDs; Client is responsible for maintaining current location data.

4. Fees and Billing

4.1 Monthly Recurring Charges. Client will be billed monthly for the committed channel count and DID quantities specified in the Service Order, regardless of actual usage.

4.2 Usage Charges. Per-minute usage charges apply to outbound calls as specified in the Service Order rate schedule. Inbound calls to DIDs are billed at the inbound per-minute rate, if applicable.

4.3 Burst Charges. Concurrent channels used above the committed count are billed at the burst rate specified in the Service Order. Burst capacity is subject to availability and is not guaranteed.

4.4 Taxes and Surcharges. SIP Trunking Services are subject to applicable taxes, USF contributions, E911 surcharges, and other regulatory fees as described in the Taxes, Fees & Surcharges schedule.

5. Number Portability

5.1 Porting In. Client may request to port existing telephone numbers to BlueStream's platform. Porting is subject to the losing carrier's cooperation and applicable regulatory timelines. BlueStream does not guarantee porting completion dates.

5.2 Porting Out. Upon termination of service, Client may port DIDs to another carrier. BlueStream will cooperate with porting requests in accordance with applicable regulations. Outstanding balances must be resolved prior to port-out authorization.

5.3 Number Ownership. DIDs assigned by BlueStream remain the property of BlueStream or its upstream carrier until successfully ported to Client's account with another carrier. Client does not acquire ownership of telephone numbers through this Agreement.

6. Service Levels

6.1 Availability Target. BlueStream targets 99.9% monthly uptime for SIP Trunking Services, measured at the BlueStream network edge. Scheduled maintenance windows and events outside BlueStream's reasonable control are excluded from uptime calculations.

6.2 Exclusions. Service level commitments do not apply to degradation caused by Client's internet connection, on-premises equipment, or third-party carriers beyond BlueStream's network.

7. Acceptable Use

7.1 Prohibited Uses. Client may not use SIP Trunking Services for auto-dialing, robocalling, or any activity that violates the Telephone Consumer Protection Act (TCPA), the FTC Telemarketing Sales Rule, or BlueStream's Acceptable Use Policy. Violation may result in immediate service suspension.
