Cloud PBX Services Addendum

Effective Date: January 1, 2024

This Cloud PBX Services Addendum ("Addendum") is incorporated into and made part of the Master Service Agreement ("MSA") between BlueStream Consulting, LLC ("BlueStream") and Client. This Addendum governs the provision of hosted Private Branch Exchange (Cloud PBX) and related unified communications services. In the event of a conflict between this Addendum and the MSA, this Addendum controls with respect to Cloud PBX Services.

1. Definitions

1.1 Cloud PBX. A hosted telephony platform that provides PBX functionality — including call routing, voicemail, auto-attendant, call queuing, and conferencing — delivered as a managed cloud service rather than on-premises hardware.

1.2 Seat. A licensed user endpoint (physical IP phone, softphone, or mobile application) provisioned on the Cloud PBX platform.

1.3 Extension. An internal dialing number assigned to a Seat or virtual endpoint (e.g., ring group, call queue, auto-attendant) within Client's Cloud PBX instance.

1.4 DID. Direct Inward Dialing number — a PSTN telephone number assigned to Client for inbound call routing to a Seat or Extension.

1.5 Auto-Attendant. An automated call answering and routing system that presents callers with menu options and directs calls to the appropriate Extension or department.

2. Service Description

2.1 Platform Provision. BlueStream will provision and maintain a Cloud PBX instance for Client with the number of Seats and features specified in the Service Order. The platform is hosted in BlueStream's or its partner's data center infrastructure.

2.2 Standard Features. Unless otherwise specified in the Service Order, Cloud PBX Services include: inbound and outbound calling via PSTN, extension-to-extension dialing, voicemail with email delivery, auto-attendant, call forwarding, call transfer, three-way calling, call hold, and a web-based administration portal.

2.3 Optional Features. Additional features — including call recording, call center queuing, CRM integration, video conferencing, SMS/MMS messaging, and advanced analytics — are available as add-ons at the rates specified in the Service Order.

2.4 Devices. BlueStream may supply IP desk phones, conference phones, or headsets as specified in the Service Order. Device ownership and return obligations are governed by the MSA and applicable Service Order.

3. Client Obligations

3.1 Network Requirements. Client is responsible for providing a stable, high-quality internet connection sufficient to support the provisioned Seat count. BlueStream recommends a minimum of 100 Kbps symmetrical bandwidth per concurrent call and a network configured with QoS prioritization for voice traffic.

3.2 Device Configuration. Client is responsible for configuring and maintaining end-user devices in accordance with BlueStream's provisioning guidelines. BlueStream will provide initial configuration support as specified in the Service Order.

3.3 Administrator Responsibilities. Client will designate at least one administrator with access to the web portal. The administrator is responsible for managing user accounts, call routing configurations, and voicemail settings. BlueStream is not responsible for misconfiguration by Client's administrator.

3.4 E911 Compliance. Client must register accurate physical location information for each Seat used for emergency calling. For remote or mobile users, Client is responsible for ensuring users understand E911 limitations and maintain current location registrations.

4. Fees and Billing

4.1 Monthly Recurring Charges. Client will be billed monthly for the number of Seats, DIDs, and optional features specified in the Service Order. Seat counts are billed based on provisioned Seats, not active usage.

4.2 Usage Charges. Outbound PSTN calls are billed at the per-minute rates specified in the Service Order. Inbound calls to DIDs are included in the monthly Seat fee unless otherwise specified.

4.3 International Calling. International outbound calls are billed at the international per-minute rates in effect at the time of the call. BlueStream may require pre-authorization for international calling to certain destinations.

4.4 Taxes and Surcharges. Cloud PBX Services are subject to applicable taxes, USF contributions, E911 surcharges, and other regulatory fees as described in the Taxes, Fees & Surcharges schedule.

5. Service Levels

5.1 Platform Availability. BlueStream targets 99.9% monthly uptime for the Cloud PBX platform, measured at the BlueStream network edge. Scheduled maintenance windows and force majeure events are excluded from uptime calculations.

5.2 Maintenance Windows. BlueStream will provide at least forty-eight (48) hours advance notice of scheduled maintenance that may impact service availability, except in cases of emergency maintenance required to address security vulnerabilities or imminent service degradation.

5.3 Support. Technical support for Cloud PBX Services is available during BlueStream's standard business hours. Priority support and after-hours coverage are available as specified in the Service Order or applicable support addendum.

6. Data and Recordings

6.1 Voicemail and Recording Storage. Voicemail messages and call recordings (if enabled) are stored on BlueStream's platform for the retention period specified in the Service Order. Client is responsible for downloading and archiving recordings required for compliance purposes.

6.2 Data Portability. Upon termination of service, Client may request an export of voicemail messages and call recordings in a standard format within thirty (30) days of termination. After this period, BlueStream may delete Client data without further notice.

6.3 Call Recording Compliance. If Client enables call recording, Client is solely responsible for compliance with all applicable federal and state call recording consent laws, including providing required disclosures to callers.

7. Number Portability

7.1 Porting In. Client may port existing telephone numbers to BlueStream's Cloud PBX platform. Porting timelines are subject to the losing carrier's cooperation and applicable regulatory requirements.

7.2 Porting Out. Upon termination, Client may port DIDs to another carrier. BlueStream will cooperate with porting requests in accordance with applicable regulations. Outstanding balances must be resolved prior to port-out authorization.
